SWP Board Meeting Minutes

October 21, 2025 |  7 – 8:30 PM

Location: CEC / Virtual: Zoom

• 7:05 Call to Order – Laura

• Attendance (quorum > 10)

1. 1. 1. Neighborhood/ Community Reps (quorum >4): Serena Watters, Kelleigh Eastman, Edith Gilliard-Canty, Gigi Lazard, Melanie Scheirer, Vernell Lewis, Charisse Lue [7]
      2. Anchors: Tim Douglas,  Jane Shaab, Bill Joyner, Kurt Sommer [+4]
      3. Committees: Dr. Laura Dykes, Abigail Breiseth, Dr. Nicole King, Howard Hughes, Scott Kashnow [+5] = [16]

•  Approval of Previous Meeting Minutes (Scott)

1. 1. 1. Motion to approve minutes from September (Jane), Bill 2nd:  All in favor 

• Governance Updates (Bill)

1. 1. 1. Working on Broad proposals to amend the bylaws – once they finalized and approved we will draft the detailed bylaws changes to facilitate the changes. We will discuss at the next meeting.
      2. Committees are holding elections over the next month
      3. New board member training: 2 parts
         1. General board service: UMB is facilitating Board Training with Community Law Center – from 5:30-6:30 prior to our board meetings
         2. SWP specific orientation to the organization – propose using half of the November meeting for orienting new board members.

• Audit Review (Tony)

1. 1. 1. Jasmin Layne & Joshua Brown of WCS reviewed the Audit for the Board. 
      2. Motion to accept audit (Scott), Bill 2nd:  All in favor 

• Director Report (Tony)

1. 1. 1. See Directors report attached.

• Annual Meeting (Laura)

1. 1. 1. Annual will be February 7th – we are looking for volunteers to assist
      2. Next meeting of the planning committee this Thursday

• Upcoming Events/ Open Forum

      2. Charm City Cleanup
